Karol Pawlina: I am a Toronto based small and medium business lawyer.

Practice

I am a Toronto based business lawyer who advises small and medium sized businesses on Business Law, Corporate Law, and Intellectual Property Law matters. I founded Pawlina Law in the fall of 2016 and have since assisted clients with a wide range of business and corporate law issues. A significant part of my practice involves drafting clear and practical agreements tailored to my clients’ needs. I regularly prepare and review contracts such as service agreements, shareholder agreements, partnership agreements, share purchase agreements, and asset purchase agreements. Board and Committee Services

In 2020, I was appointed by Ontario’s Minister of Finance as a public member of the Council (Board of Directors) of the Registered Insurance Brokers of Ontario (“RIBO”), the regulatory body responsible for overseeing insurance brokers in Ontario, for a three year term. In 2024, I was re appointed for a second and final term. During my time on the Board, I have contributed to RIBO’s modernization initiatives and have served as Chair of the Legislative Committee.

In 2024, I was appointed to the Investigations Committee of the College of Patent and Trademark Agents. The Investigations Committee supports the Board’s professional regulation and public protection mandate under the Act, regulations, by-laws, policies, regulatory objectives, standards, and principles.

Since 2023, I have served as a Business Law Practicum Mentor at the Lincoln Alexander School of Law. In this role, I meet with small groups of students and provide guidance on their business law assignments. I enjoy mentoring and supporting the development of the next generation of Ontario lawyers.

Education and Credentials

I received my J.D. from Osgoode Hall Law School in Toronto and was called to the Ontario Bar in 2016 as a Barrister and Solicitor. I am also a Registered Trademark Agent in Canada. Prior to attending law school, I completed an Honours Bachelor of Engineering at Toronto Metropolitan University (formerly Ryerson University), where I graduated with distinction.

During law school, I gained experience assisting with a variety of intellectual property matters, including intellectual property litigation and trademark prosecution, at a boutique intellectual property law firm in Toronto.

Personal

I was born and raised in Toronto. However, I spent an significant amount of time in Barry’s Bay and Ottawa. I enjoy spending time outdoors and am an avid fisherman and skier, including both downhill and cross country skiing. I am also fluent in Polish. Most importantly, when I am not working, I enjoy spending time with my wife Victoria and our children, Maria, Paul, and Peter.
